Terms of Service

These Terms of Service ("Terms") govern access to and use of the Clerko platform, including related websites, applications, APIs, and services (collectively, the "Service").

1. Acceptance

By accessing or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.

2. The Service

Clerko provides AI value observability, business-case, and decision-support capabilities for professional and enterprise use. The Service may include analysis, recommendations, estimates, and related artifacts. Outputs are decision-support aids and do not constitute legal, financial, accounting, or investment advice.

3. Accounts and organizations

You must provide accurate account information and keep credentials confidential. Organization administrators are responsible for authorizing users and managing access within their tenant.

4. Acceptable use

You may not misuse the Service, attempt unauthorized access, interfere with platform integrity, or use Clerko to violate applicable law or third-party rights.

5. Customer data

You retain rights in data you submit. You grant Clerko a limited license to process that data solely to provide and improve the Service, subject to the Privacy Policy and any applicable enterprise agreement.

6. Confidentiality

Each party will protect the other's confidential information with reasonable care and use it only for purposes related to the Service.

7. Intellectual property

Clerko and its licensors own the Service, software, branding, and related IP. No rights are granted except as expressly stated in these Terms.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" TO THE MAXIMUM EXTENT PERMITTED BY LAW. CLERKO DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLERKO'S AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE IS LIMITED TO THE FEES PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Termination

Either party may terminate access as permitted by an applicable order form or subscription agreement. Upon termination, your right to use the Service ends.

11. Changes

Clerko may update these Terms. When a new version requires acceptance, continued use of the Service after notice may require re-acceptance of the updated Terms.
